1. 接受条款1. Acceptance

使用 FilingDelta、订阅、接收摘要、打开 brief 或查看生成内容，即表示你同意这些条款。如果你代表组织使用 FilingDelta，你确认你有权使该组织受这些条款约束。By using FilingDelta, subscribing, receiving a digest, opening a brief, or viewing generated output, you agree to these Terms. If you use FilingDelta for an organization, you confirm that you are authorized to bind that organization.

2. 服务说明2. Service Description

FilingDelta 提供带来源链接的 SEC 披露 brief、披露变更摘要、持仓变更摘要、邮件摘要、样例页面，以及返回来源记录的链接。FilingDelta 仅用于信息参考，不提供评级、目标价、交易指令、投资组合建议，也不能替代你自行阅读 SEC 披露。FilingDelta provides source-linked SEC filing briefs, filing-change summaries, ownership-change summaries, email digests, sample pages, and links back to source records. FilingDelta is informational only. It does not provide ratings, price targets, trading instructions, portfolio advice, or a substitute for reviewing SEC filings yourself.

3. 账户3. Accounts

你需要负责邮箱地址和 watchlist 的准确性，保护退订链接和账户访问安全，并对订阅相关活动负责。如果你认为访问权限被滥用，请及时告知我们。You are responsible for the accuracy of your email address and watchlist, for keeping unsubscribe links and account access secure, and for activity tied to your subscription. Tell us promptly if you believe your access has been misused.

4. 禁止用途4. Prohibited Uses

你不得使用 FilingDelta 违法、侵犯第三方权利、过载我们的系统、绕过速率限制、逆向工程服务的私有部分、提交你无权使用的内容、移除 brief 中的来源链接或声明，或将输出描述为有保证、已认证、完整、专业建议，或买入、卖出、持有、交易、配置资本的建议。You may not use FilingDelta to break the law, violate third-party rights, overload our systems, bypass rate limits, reverse engineer private parts of the Service, submit content you do not have the right to use, remove source links or notices from briefs, or present output as guaranteed, certified, complete, professional advice, or a recommendation to buy, sell, hold, trade, or allocate capital.

5. 付款和退款5. Payments and Refunds

付费计划目前还是候补模式。加入候补不会产生扣费。如果以后开启真实结账，费用按结账页显示价格收取，税费可能另计。除非另有书面退款政策，在 FilingDelta 开始处理请求的 brief、摘要、导出或订阅周期后，费用不可退款。我们可自行决定是否退款。Paid plans are currently waitlist-only. Joining a waitlist does not create a charge. If live checkout is enabled later, paid plans are charged at the price shown at checkout. Taxes may apply. Unless a separate written refund policy says otherwise, fees are non-refundable after FilingDelta begins processing a requested brief, digest, export, or subscription period. We may issue refunds at our discretion.

6. 取消6. Cancellation

在真实计费开启前，你可以通过产品流程或联系我们移除 FilingDelta 候补或邮件订阅，也可以使用退订链接取消邮件。如果以后开启真实计费，你可以通过产品流程或联系我们取消后续付费访问。取消会停止后续收费，但不会自动删除此前生成的输出。保留政策：brief 保留 2 年；订阅者邮箱保留至退订后 30 天。Before billing is enabled, you may ask to be removed from a FilingDelta waitlist or mailing list through the product flow or by contacting us. You may unsubscribe from email using the unsubscribe link. If billing is enabled later, you may cancel future paid access through the product flow or by contacting us. Cancellation stops future charges but does not automatically delete prior generated output. Retention policy: briefs are retained for 2 years; subscriber email is retained until unsubscribe plus 30 days.

7. 知识产权7. Intellectual Property

You retain rights in content you provide. You grant us a limited license to host, process, transform, display, and transmit submitted content as needed to provide the Service and operate security, support, waitlist, and billing workflows. SEC filings and other public records remain governed by their source terms and applicable law.

8. 保证免责声明8. Warranties Disclaimer

We do not promise uninterrupted access, complete accuracy, error-free output, complete SEC coverage, regulatory compliance for your use case, trading performance, or that every source record will be available or parsed correctly.

9. 责任上限9. Liability Cap

在法律允许的最大范围内，我们对 FilingDelta 相关索赔的总责任，以你在索赔前三个月为服务支付的金额或 100 美元二者中较高者为限。我们不对间接、附带、特殊、后果性、惩罚性、利润损失、数据损失、交易损失、业务中断或声誉损害负责。To the maximum extent allowed by law, our total liability for claims related to FilingDelta is limited to the greater of the amount you paid for the Service in the three months before the claim or USD $100. We are not liable for indirect, incidental, special, consequential, exemplary, lost-profit, lost-data, trading-loss, business-interruption, or reputational damages.

10. 赔偿10. Indemnity

你同意为因使用 FilingDelta、提交内容、违反这些条款或违反法律及第三方权利而产生的索赔、损害、损失、成本和费用向我们抗辩并赔偿。You agree to defend and indemnify us from claims, damages, losses, costs, and fees arising from your use of FilingDelta, your submitted content, your violation of these Terms, or your violation of law or third-party rights.

11. DMCA 与版权投诉11. DMCA and Copyright Complaints

如果你认为 FilingDelta 中的内容侵犯了你的版权，请发送通知，说明受版权保护的作品、涉嫌侵权材料、你的联系方式、善意相信声明、通知准确声明和你的签名。通知通过当前公开产品联系渠道 @publicmargin 发送。我们可在适当时移除内容并终止重复侵权者。If you believe content in FilingDelta infringes your copyright, send a notice with the copyrighted work, the allegedly infringing material, your contact information, a statement of good-faith belief, a statement that the notice is accurate, and your signature. Send notices through the public product contact channel, currently @publicmargin. We may remove content and terminate repeat infringers when appropriate.

12. 管辖法律12. Governing Law

这些条款目前还没有指定具体适用的管辖法律地区。我们会在商业化上线前公布适用的管辖法律、争议解决地点，以及相关仲裁或消费者法条款。These Terms do not yet designate a governing-law jurisdiction. We will publish the governing-law jurisdiction, venue, and any arbitration or consumer-law terms before commercial launch.

13. 条款变更13. Changes to Terms

当 FilingDelta 发生变化或法律要求变化时，我们可能更新这些条款。我们会更新生效日期；如有重大变化，会通过产品或联系渠道提供合理通知。变更后继续使用即表示你接受更新后的条款。We may update these Terms when FilingDelta changes or legal requirements change. We will update the effective date and, for material changes, provide reasonable notice through the product or contact channel. Continued use after changes means you accept the updated Terms.
